Service Terms

What to expect when discussing a project with Xplicit Services LLC, and what belongs in your written agreement.

Start with an agreed scope

Services are discussed individually. Your written proposal or service agreement should identify the deliverables, price, payment schedule, estimated timeline, client responsibilities, and any third-party costs before work begins.

An inquiry or a service description on this website does not authorize a filing, create a completed registration, or establish a fixed price. If a project agreement differs from this general overview, the project agreement controls for that project, subject to applicable law.

Website and branding projects

Projects may include website design and development, redesigns, logo design, branding, or assistance with domains and business email. The specific pages, features, file formats, revisions, and handoff arrangements must be included in the agreed scope.

Hosting, domain renewals, email subscriptions, paid fonts, stock assets, maintenance, and future changes are included only when stated in the agreement. Ownership, transfer, and licensing of final work and third-party materials are also addressed there.

Clients are responsible for supplying accurate content and having permission to use any materials they provide. A logo design does not include trademark registration or a legal opinion about trademark availability unless separately arranged with an appropriate professional.

Business formation and registration assistance

We provide administrative assistance with LLC filings, EIN applications, and state tax registrations based on the information and instructions the client provides. The exact assistance and any submission authorization must be agreed in advance.

We do not provide legal, tax, or accounting advice through these administrative services. You choose your business structure and tax positions with any professional advice you need. We do not guarantee government approval, tax outcomes, legal protection, or a specific processing time.

Our service does not replace an attorney, accountant, or government agency. Questions about which entity, tax election, registration, or license is appropriate for your circumstances should be directed to a qualified professional or the relevant agency.

Your information and approvals

You are responsible for the accuracy and completeness of business names, addresses, ownership details, and other information you supply. Review documents and designs before authorizing their use or submission. A request to make a filing may require written authorization or identity verification.

Please do not send sensitive identity or financial documents in an initial email. Agree on an appropriate way to provide any necessary documents after the service scope is established.

Fees and third-party costs

Our service fees are separate from government filing fees and third-party charges. Your quote should make clear which costs are included, which you pay directly, and which may be payable in addition to the service fee.

Agency processing times, acceptance decisions, and third-party pricing are outside our control. You remain responsible for future renewals, reports, tax filings, and other continuing obligations unless ongoing support is expressly included in the agreement.

Timing, revisions, and additional work

Project timelines depend on the agreed scope, timely delivery of client information, required approvals, and third-party processing. Revision limits and the process for approving additional work should be stated in the proposal. Extra requests may require an updated price and timeline.

Cancellations and refunds

Payment, cancellation, and refund terms are set out in the written project agreement before you engage the service. This website does not impose a universal “no refunds” policy or promise that all fees are refundable.

Any treatment of completed work, deposits, government fees, or third-party charges should be explained in that agreement. If you need to cancel or have a concern, contact us promptly so we can review the work status and applicable terms. Your rights under applicable law remain unaffected.
